These Terms of Use ("Terms") govern your use of the website tracichickcfo.com and the Traci Chick CFO Connector (the "Connector"), an application that connects your QuickBooks Online company to the accounting and finance services provided by Traci Chick, CFO ("we," "us," or "Traci Chick CFO"). By using the website or authorizing the Connector, you agree to these Terms.

1.The service

The Connector is software made available to clients as part of a professional accounting, finance, or operations services engagement with Traci Chick CFO. It is not a standalone subscription product. Its purpose is to let us perform the services described in your engagement — such as bookkeeping, close, reconciliations, journal entries, and reporting — by connecting to your QuickBooks Online data with your authorization.

2.Authorization and access

Use of the Connector requires you to authorize access to your QuickBooks Online company through Intuit's official OAuth consent flow. You represent that you are authorized to grant that access on behalf of your business. You may revoke access at any time through your Intuit account, which will end the Connector's ability to access your data.

3.License and permitted use

Subject to these Terms and your engagement, we grant you a limited, non-exclusive, non-transferable right to use the Connector solely in connection with the services we provide to you. You agree not to copy, resell, reverse engineer, or attempt to gain unauthorized access to the Connector or its underlying systems, and not to use it in violation of applicable law or Intuit's terms.

QuickBooks®, QuickBooks Online®, and Intuit® are trademarks of Intuit Inc. The Connector is an independent application. It is not endorsed by, sponsored by, or affiliated with Intuit. References to Intuit or QuickBooks are for identification purposes only.

6.No warranty beyond the engagement

The Connector is provided as a tool to support our services. Except as expressly stated in your engagement letter, the Connector and this website are provided "as is," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The professional services we provide are governed by, and warranted only to the extent set out in, your engagement letter.

7.Limitation of liability

To the fullest extent permitted by law, Traci Chick CFO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or relating to your use of the Connector or this website. Our total liability relating to the Connector and website is limited as set out in your engagement letter; where no such limit applies, it will not exceed the fees paid for the applicable services in the three months preceding the claim.

8.Termination

Either party may end use of the Connector in accordance with the engagement. Access ends when the engagement ends or when you revoke authorization. Provisions that by their nature should survive termination — including trademark, warranty disclaimer, limitation of liability, and governing law — will survive.

9.Governing law

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Washington.

A note: Where these Terms and your signed engagement letter conflict, the engagement letter controls. These Terms describe general conditions of use and are not a substitute for the specific terms of your engagement.
